Family Dollar: A Material Credit Change Every NNN Investor Must Understand

Family Dollar is a discount dollar store retailer that operated 7,591 stores as of May 3, 2025, about two months before the sale. Before the sale, some Family Dollar leases carried a guarantee from parent Dollar Tree, Inc., which is rated BBB. On July 5, 2025, Dollar Tree sold Family Dollar to 1959 Holdings, LLC in the Brigade Capital Management and Macellum Capital Management transaction, and it announced the completed sale on July 7, 2025. The sale did not simply erase every guarantee. Dollar Tree’s filings state that it guaranteed the full lease obligations on 114 Family Dollar stores (about $83 million to $86 million) for the first year after the July 5, 2025 sale, and that its guarantee of lease obligations for certain Family Dollar stores is capped at $20 million in the second year (to July 2027) and $10 million in the third year (to July 2028) (Form 10-Q for the quarter ended August 1, 2026). Outside the guaranteed stores, and once the caps run out, Family Dollar’s lease credit rests on the tenant entity and any guarantor each lease names. S&P rates Family Dollar Stores LLC B (Stable) (not investment grade); confirm whether that entity is the tenant or a guarantor on a given lease.

This transaction is a significant credit event for owners of Family Dollar NNN properties. Investors who acquired Family Dollar properties assuming Dollar Tree backing should reassess their positions lease by lease. For most stores, Family Dollar’s creditworthiness now depends on standalone operating performance under private ownership, and any remaining Dollar Tree support is limited to the stores it still guarantees, subject to the dollar caps and time limits above. For investment-grade NNN portfolios, test each Family Dollar lease against the mandate’s own rules: S&P’s rating on Family Dollar Stores LLC is not investment grade, and any remaining Dollar Tree guarantee is capped and time-limited.

Pricing should reflect Family Dollar Stores LLC’s own credit, whether a capped Dollar Tree guarantee still applies to the store, and the financing terms a lender will offer on that lease; current asking cap rates are in the live table below. A higher yield may compensate investors for some credit risk, but it does not replace the Dollar Tree guarantee some leases had before the sale, and operating performance under new private ownership is still uncertain.

CRITICAL: Dollar Tree Sold Family Dollar on July 5, 2025; Guarantees Now Limited

WARNING: Family Dollar is privately held, S&P rates Family Dollar Stores LLC B (not investment grade), and most leases no longer have investment grade parent support.

Before the sale, some Family Dollar NNN leases benefited from a Dollar Tree guarantee (Dollar Tree is rated BBB). Any remaining Dollar Tree guarantee covers only certain stores and is capped and time-limited, as described above. Family Dollar itself is now a standalone, privately held company with its own issuer rating. Every owner should pull the actual lease and guaranty documents: confirm the tenant entity, whether Dollar Tree is a named guarantor, whether the store is one of the covered stores, and how the cap applies. Consult qualified legal counsel before relying on any guarantee.

Before the sale, investors in Dollar Tree-guaranteed Family Dollar leases effectively held an investment grade credit position, because rent was ultimately backed by Dollar Tree’s balance sheet. For most stores that structure is gone, and for the stores Dollar Tree still guarantees, the support is capped and ends three years after the sale. What remains for the long term is the credit of the operating business, Family Dollar Stores LLC, which is owned by investment firms; when the deal was announced, Macellum’s CEO called it an opportunity to help reinvigorate an iconic business.

The practical implications for landlords are concrete. Refinancing a Family Dollar NNN property after July 2025 can be harder, because lenders that relied on Dollar Tree credit must now underwrite the standalone business. Investors with investment-grade-only mandates may need to sell, which can add supply.

Credit Analysis: Family Dollar Post-Sale

S&P rates Family Dollar Stores LLC B (Stable) (not investment grade; source in the footnote under the table above). We have not verified a Moody’s rating for Family Dollar from a primary source. The company competes in discount retail with Dollar General and Dollar Tree, and the Family Dollar business operated 7,622 stores as of February 1, 2025 (Dollar Tree Form 10-K for fiscal 2024), but store count alone does not substitute for credit quality in NNN underwriting.

Brigade Capital Management describes itself as a global asset management firm, founded in 2006, that invests across public and private markets. Macellum Capital Management describes itself as investing in undervalued companies it believes can gain value through changes in strategy, capital allocation and operations, with substantial experience in consumer and retail companies. In a March 17, 2026 release, Family Dollar said its transformation includes a Value Creation program of approximately 70 initiatives across merchandising, store operations, supply chain and technology, that it closed underperforming locations during fiscal 2025, and that it expects to pilot an extra small box store format in 2026. The same release gives targets, not results: financial planning that reflects approximately 25% EBITDA growth in fiscal 2026 and a multi-year goal of EBITDA above $1 billion. Plans like these carry execution risk that did not exist when Dollar Tree backed the leases.

Investors holding Family Dollar properties should monitor the company’s operational actions, any public statements from management about store closures or relocations, and unit-level performance where it is available. In a store portfolio review begun in late fiscal 2023, Dollar Tree identified about 970 underperforming Family Dollar stores to close (Form 10-K for fiscal 2024). Results under private ownership will shape Family Dollar’s credit from here.

NNN Property Details & Market Economics

Asking prices vary by property. Check current asking cap rates in the live table below rather than assuming how far pricing has moved since the sale.

Lease terms vary, and terms stated in listings can include extensions or option periods. Lease types stated in the Family Dollar listings we track include NN, NN+, NNN, absolute NNN and net, so confirm in the lease which of property taxes, insurance, roof, structure and maintenance Family Dollar pays, and for dual-brand Dollar Tree and Family Dollar combination stores, which entity signed the lease. Whatever the lease shifts to the tenant gives the landlord some protection while the tenant keeps operating, but it does not protect against lease abandonment or rejection in a potential bankruptcy proceeding. Investors should review specific lease documents to understand default provisions, cure periods, and the practical remedies available if Family Dollar fails to perform on rent or maintenance obligations.

Strategic Comparison: Repositioning Capital

If a portfolio mandate requires investment-grade credit, owners of Family Dollar NNN properties may want to evaluate rated alternatives. Within discount and value retail, Dollar General reports senior unsecured debt ratings of BBB/Baa3 from S&P and Moody’s (investment grade; Dollar General Form 10-Q for the quarter ended July 31, 2026). Confirm each rating, the rated entity and its date on the tenant’s page before relying on it.

Outside of discount retail, our tenant credit rating directory provides side-by-side comparisons across NNN sectors, enabling investors to evaluate repositioning options. A 1031 exchange from a Family Dollar property into an investment-grade tenant can be executed with proper planning and advance identification of the replacement asset. Asking cap rates are not closed-sale cap rates. The middle half is the range from the 25th to the 75th percentile of listings. The 10-year Treasury yield is 5.24% as of October 1, 2026 (FRED series DGS10). Ratings are the agency ratings in our ratings database for the entity shown, which may be a parent company; the rating type (for example issuer, senior unsecured debt, long-term debt or revenue bond ratings) varies by company and is shown on each tenant page. A rating applies to a lease only if the rated entity signs or guarantees it, so confirm the tenant and any guarantor in the lease. n/a means no verified rating is on file.

Live asking cap rates on listings our data maps to each tenant; asking cap rates are not closed-sale cap rates. Dual-brand Dollar Tree and Family Dollar combination stores can appear under either tenant, so confirm the tenant entity and any guarantor on each lease.

Frequently Asked Questions: Family Dollar NNN Investments

Is Family Dollar still investment grade for NNN investing?

No. Family Dollar is privately held, and S&P rates Family Dollar Stores LLC B (Stable) (not investment grade). Since Dollar Tree sold it on July 5, 2025 to 1959 Holdings, LLC in the Brigade Capital Management and Macellum Capital Management transaction, most Family Dollar leases no longer have investment grade parent support. Separately from that issuer rating, Dollar Tree still guarantees lease obligations for certain stores (114 as of May 2, 2026), but only up to $20 million in the second year after the sale and $10 million in the third.

What happened to my Dollar Tree guarantee on a Family Dollar NNN lease?

It depends on your store. For other stores, the sale ended Dollar Tree’s ownership of the tenant, and whether any Dollar Tree obligation survives depends on the specific guaranty document. Investors holding Family Dollar NNN leases that reference a Dollar Tree guarantee should consult qualified real estate legal counsel to understand the implications of the ownership transfer, confirm current tenant entity and obligor on the lease, and evaluate their rights and options under the specific lease terms.

What cap rates do Family Dollar NNN properties offer in 2026?

Current median asking cap rates for Family Dollar and comparable tenants are shown in the live table on this page. Pricing for a specific property depends on the remaining lease term, rent level, location and lease guarantor, and asking cap rates are not closed-sale cap rates.

Should I sell my Family Dollar NNN property?

The decision to hold or sell depends on your portfolio mandate, your basis in the property, and your assessment of the Family Dollar turnaround under Brigade and Macellum ownership, and whether your store is one of those with a remaining, capped Dollar Tree guarantee. If your investment mandate requires investment-grade credit, the property may not meet it: test the named tenant and any guarantor, the terms and remaining life of any Dollar Tree support, and the mandate’s own rules, and disposition may then be appropriate. We recommend consulting with our team to evaluate your specific property, location, and portfolio context before making a disposition decision.

Can I do a 1031 exchange out of a Family Dollar NNN property?

Generally, yes. Under Internal Revenue Code section 1031, real property held for productive use in a trade or business or for investment, such as a Family Dollar NNN property, can be exchanged for like-kind real property that you will also hold for business use or investment; real property held primarily for sale does not qualify (section 1031(a)(2)). The exchange proceeds can be deployed into an investment-grade NNN replacement property, allowing you to rebalance credit quality while deferring gain, but gain is recognized to the extent you receive money or other property that is not like-kind (section 1031(b)). Exchanges often use a qualified intermediary under the safe harbor in Treasury Regulation section 1.1031(k)-1(g)(4), and replacement property must be identified within 45 days of the sale and received within 180 days, or by the due date (including extensions) of the tax return for the year of the sale if earlier (Internal Revenue Code section 1031(a)(3)). This is general information, not tax advice. Contact our team to discuss exchange-eligible investment-grade NNN replacement options in your price range.
